We know you will find this website beneficial to your continuing education and professional development needs.  We request you read the Terms and Conditions of this site explaining our service and the restrictions with our content. Please note, CEPRO can refer to and be interchanged with the company, its services, products or the site itself.
Products and services obtained through CEPRO (and affiliate organizations) are available for your use only. By accessing our website, you are confirming you are authorized to do so and you agree to be bound by these Terms and Conditions.

CEPRO may change the Terms and Conditions at any time to reflect changes in laws, technology, industry standards and our commercial practice or the changing requirements of those people who contribute their research and information to our site. Although we may email or provide popup screens to notify of changes, you accept responsibility to periodically review the Terms and Conditions to maintain a current understanding of CEPRO. Please note that your continued use of our service or content means that you accept any new or modified terms of the user conditions.

In order to process your registration as a user of our service and to enable us to issue you with a username and password, you will provide us with some "Registration Information" as described below. You have a continuing obligation to ensure that this Registration Information is current and accurate, so please remember to communicate your up-to-date registration information to us.

Any information not of a personal identification nature such as responses to surveys, questionnaires and the like is not considered personal information. At no time will anyone have access to your personal identification without your consent or previous authorization. If you are aware of your personal identification be exposed without your consent, please notify CEPRO and the problem will be rectified. You may also delete your profile and any balances will be reimbursed.

CEPRO stores this registration information and may use it for internal, operational, commercial and other lawful purposes, including verifying your compliance with these Terms and Conditions. You agree to allow CEPRO to collect and store your registration information together with other information about your use personal CEPRO use and make such information available internally within CEPRO or to other parties with your permission or if we are required to do so by virtue of any law or by order of an applicable court or regulatory authority. In all cases, CEPRO will be responsible with such information and use it in accordance with our Privacy Policy.  Your use of the CEPRO website indicates you accept our Privacy Policy.

Once accepted by CEPRO, your username and password are your responsibility. No one else is entitled to access CEPRO through your username or password and you must not transfer, share or loan your username or password to anyone even for temporary use. You should know that you are responsible for all purchases made and other acts occurring through and charges resulting from the use of your username and password. You shall be liable for all reasonable charges CEPRO incurs to collect any unpaid balances resulting from credit card refusals, charge backs, and the like, including reasonably legal fees. You agree to notify CEPRO immediately of suspected theft or misuse of a username and password so CEPRO may disable them. You will indemnify CEPRO for any loss or damage resulting from misuse of the assigned or chosen user name and password.

The products and content available through CEPRO are all protected by Canadian and international intellectual property laws, including copyright, trademark, trade secret, and patent law. Content refers to all data, databases, graphics, research, information, opinions, statements or any other material in any form or service available through CEPRO. You agree not to assert any rights whatsoever over CEPRO’s products content or any service provided. You acknowledge access to CEPRO does not come with any proprietary rights in CEPRO or any products, service or content contained therein other than a right to access and use CEPRO.

You agree to use CEPRO solely for your personal use and in compliance with the Terms and Conditions of this site, and any restrictions imposed by a CEPRO and all applicable local, provincial/state and national laws and regulations. Except as specifically authorized by CEPRO, you shall not do the following; directly or indirectly grant anyone else access CEPRO though your username and password, display, publish, re-publish, upload, distribute, transfer, sell, assign, rent, timeshare or sub-license any content from the CEPRO site, copy the content or any part of it except as permitted, modify, delete or translate the content or any part of it including any product or service identifications, author attributions, copyright notices, disclaimers or proprietary restrictions in the service, products or content or any associated documentation, create a separate database of content or any subset of the content, post content or any derivative information on any intranet, extranet or other network, application, system or location.  

You agree to defend, indemnify, and hold harmless CEPRO, its officers, directors, employees, agents, content providers, shareholders, and licensors, sponsors from and against any claims, damages, and expenses (including, without limitation, legal fees), using counsel reasonably acceptable to CEPRO, arising out of posting of content to any area of the CEPRO sites or use of the service in any manner not permitted under these Terms and Conditions. CEPRO shall have the right, at its expense and option, to participate in the defense and/or settlement of any such claim or action. In no event shall a user settle any suit or claim imposing any liability or other obligations on CEPRO without CEPRO’s prior written consent.

Please note that we may in our sole discretion and without prior notice or liability, suspend, terminate or alter the services (or any part of it) or your access thereto, including by; restricting the time of availability, restricting the availability or scope for certain users, restricting the amount of use permitted, or suspending or terminating any User's right to use the Services.

CEPRO distributes certain content contributed by contributors. We do not have any editorial control over such content available through our service and want to make it clear all such opinions, statements, advice, services, offers, or other information available through CEPRO is provided by the applicable contributors, not CEPRO, and we shall not be liable in any way for the acts or omissions of the contributors. We do not guarantee, and you should not take for granted, the accuracy, completeness, usefulness of any of the content nor its merchantability or fitness for any particular purpose. By providing you with this service, neither our contributors nor we are providing you with any investment management, legal, tax or advisory services. You are solely responsible for your use of the services, products and content, for ensuring the accuracy and adequacy of any results of such use, and will have full responsibility for any investment decisions, recommendations, advice or analyses you make using any of the services, the CEPRO products or content. CEPRO provides the service to you on an "as-is" and "as- available" basis. CEPRO does not warrant that use of the service will be uninterrupted, error-free or secure. Use of the service is entirely at your risk.

Where you are accessing our content through one of our delivery partners, we will not be responsible for any aspect of the service provided to you by them which service will be governed by terms agreed between you and the relevant partner.

CEPRO and the contributors disclaim all representations, warranties, and conditions of any kind, whether express, implied (either in fact or by operation of law), or statutory, with respect to the service, products, content and any other subject matter of this agreement, including any implied warranties of non-infringement, satisfactory quality and fitness for purpose (and no contrary communication made by CEPRO or the contributors shall create a warranty, representation or condition), and disclaim any and all liability for any loss, damage, cost or expense suffered as a result of use of or reliance upon the service, products or content. In no event shall CEPRO or the contributors be liable for loss of business, revenue, profit or data, interruption of business, or for any special, indirect, exemplary, consequential, incidental or punitive damages of any kind regardless of theory of liability arising from or relating to this agreement or the subject matter hereof, even if CEPRO or a contributor had been advised of the possibility of such damages.

Use of the CEPRO may lead/link you to websites owned or operated independently by third parties. Such third party websites are governed by their own Terms and Conditions and privacy policies and you acknowledge that CEPRO shall not be in anyway responsible for your access to or use of such third party web sites and any related products or services available through such websites.

Any failure by CEPRO to enforce strict performance of these Terms and Conditions shall not prevent us from subsequently doing so. Neither course of conduct nor trade practice shall be taken to modify any provision of these Terms and Conditions. If any provision in these Terms and Conditions is held to be invalid or unenforceable, it shall be construed to reflect as closely as possible, its original intention, but all the remaining provisions shall remain in full force and effect.

You agree that monetary damages alone might not be a sufficient remedy for any breach by you under the Terms and Conditions and acknowledge that CEPRO as the aggrieved party shall be entitled to seek injunctive relief as a remedy for any breach. Such remedy will not be deemed to be the exclusive remedy for any breach of these Terms and Conditions, but shall be in addition to all other remedies available at law or in equity to it.

The laws of the province of Ontario shall govern these Terms and Conditions, except with regard to its laws relating to conflict of laws. Except for any injunctive relief sought, any action or suit relating to the CEPRO or these Terms and Conditions must be brought in the federal or provincial courts located Toronto, Ontario. You irrevocably consent to the personal jurisdiction and venue of such courts of law.
If at any time you are in disagreement with the nature and content of the material on CEPRO, you agree to contact the author to settle any dispute that may have arisen. You affirm that resolution for matters between another member a, content, service or product supplier and yourself are private matters to be resolved personally separate from any involvement with the Lamad Institute or associated organizations.
